Acceptance of Terms By accessing and using the GBP Discovery platform ("Service"), operated by GBP Discovery ("Company," "we," "us," or "our"), you ("User," "you," or "your") accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must discontinue use of the Service immediately. 2. Description of Service GBP Discovery is a software-as-a-service (SaaS) platform that helps users discover, audit, and analyze Google Business Profiles (GBP). The Service includes business search tools, optimization scoring, lead management, training courses, keyword ranking analysis, and related features available through a credit-based system. 3. Use License We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, subject to these Terms. This is a grant of a license, not a transfer of title. You may not: Modify, copy, or create derivative works based on the Service Reverse-engineer, decompile, or disassemble the Service Use the Service for any unlawful purpose or to violate any applicable law Resell, redistribute, or sublicense access to the Service without written consent Use automated tools (bots, scrapers) to extract data from the Service 4. Account Registration & Security You must create an account to use the Service. You agree to provide accurate, complete information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized access at support@gbpdiscovery.com. 5. Credits, Billing & Refund Policy GBP Discovery operates on a credit-based system. Credits are purchased through PayPal and are consumed when performing actions such as business searches, audit generation, keyword analysis, and other platform features. Credit costs for each action are displayed before execution. All sales are final. No refunds will be issued. All purchases of credits, subscriptions, and training courses are non-refundable. By completing a purchase, you acknowledge and agree that all sales are final. We encourage you to review all pricing and product information before purchasing. 6. SMS / Text Message Terms & Conditions 6.1 Program Description GBP Discovery ("Program") offers an SMS messaging service that may send you notifications, alerts, training content, marketing promotions, special offers, and account-related messages. By opting in, you agree to receive automated and/or pre-written text messages from GBP Discovery to the mobile phone number you provide. 6.2 Consent & Opt-In By providing your phone number and checking the SMS consent box on any GBP Discovery form, you expressly consent to receive recurring automated marketing and informational text messages from GBP Discovery at the phone number provided. Consent is not a condition of any purchase. You are not required to opt in to SMS to use GBP Discovery or make any purchase. 6.3 Message Frequency Message frequency varies. You may receive up to approximately 10 messages per month, depending on your interactions and preferences. Frequency may increase during promotions or course-related communications. 6.4 Message & Data Rates Message and data rates may apply. Contact your wireless carrier for details about your messaging plan and any applicable charges. 6.5 How to Opt Out (STOP) You may opt out at any time by texting STOP to any message you receive from us. You will receive a one-time confirmation message confirming your unsubscription. After opting out, you will no longer receive SMS messages from GBP Discovery unless you re-subscribe. Message delivery is subject to effective transmission by your wireless carrier. We do not guarantee delivery of any text message. 6.8 No Mobile Information Sharing We do not sell, rent, share, or disclose your mobile phone number or any SMS opt-in data to third parties or affiliates for marketing or promotional purposes. Your mobile information will only be shared with service providers who deliver text messages on our behalf (e.g., SMS aggregators and platform providers), strictly for the purpose of transmitting messages you have consented to receive. 6.9 Supported Carriers Our SMS service is compatible with most major US wireless carriers, including but not limited to AT&T, Verizon, T-Mobile, Sprint, U.S. Cellular, and their MVNOs. Carriers are not responsible for delayed or undelivered messages. 6.10 Compliance Our SMS program is operated in compliance with the Telephone Consumer Protection Act (TCPA), the Cellular Telecommunications Industry Association (CTIA) Messaging Principles and Best Practices, and all applicable federal, state, and local laws governing text message communications. 7. User Responsibilities You are responsible for: Maintaining the confidentiality of your account and password All activities that occur under your account Ensuring your use of the Service complies with all applicable laws and regulations Any data you extract or use from the Service in your outreach activities 8. Prohibited Uses You agree not to use the Service to: Engage in any unlawful, fraudulent, or deceptive activity Solicit others to perform unlawful acts Violate any international, federal, state, or local regulations, rules, or laws Infringe upon our intellectual property rights or those of others Transmit spam, phishing, or unsolicited communications Upload viruses, malware, or other harmful code Interfere with the security or operation of the Service Harvest, scrape, or collect personal information of others without consent 9. Intellectual Property All content, features, functionality, trademarks, and intellectual property on GBP Discovery are owned by the Company and are protected by US and international copyright, trademark, and other intellectual property laws. Unauthorized reproduction, distribution, or use of our content is strictly prohibited. 10. Third-Party Services The Service integrates with third-party services including Google Places API, PayPal, and GetResponse. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of third-party services. 11. Disclaimer of Warranties THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. 12. Limitation of Liability IN NO EVENT SHALL GBP DISCOVERY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED IN WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. 13. Indemnification You agree to indemnify, defend, and hold harmless GBP Discovery and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party. 14. Termination We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. Any unused credits are non-refundable upon termination. 15. Governing Law These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Los Angeles County, California. 16. Changes to Terms We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a notice on the Service. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically. 17.
